In the course of the discussions with you it will be necessary to inform you of confidential details concerning the concepts and products. I require you and your representatives to agree to keep strictly confidential any information that they, or any one of them, may acquire or be informed of during the course of discussions, or through seeing any of our materials, documents, equipment, products, processes and the like. Any information to be kept confidential shall not be used by you in any way whatsoever, save as may be necessary to accomplish the purpose of the discussions. You shall not disclose any such information to any third party or any employee of yours. Unless such third party or employee is required to know the same for the purpose directly concerned with such discussions and in the event of such disclosure being necessary, such third party or employee shall agree to be bound by the terms of this letter. In the event that following our initial discussions further negotiations or discussions are carried on between us the requirements for keeping information confidential and to refrain from using the same and all the requirements set out in this letter shall extend to any further negotiations or discussions of any kind. If you agree to the conditions set out herein, we ask you to date, sign and return to me the attached copy of this letter.
